Iconic Resourcing is delighted to present an exciting opportunity for an experienced lawyer to join a leading international law firm's Corporate Transactions team. This role is ideal for a motivated Associate or Senior Associate with 3-7 years of post-qualification experience (PQE) in corporate transactions, specifically within the oil and gas sector, as well as broader energy markets including LNG, hydrogen, sustainable fuels, and carbon capture, utilisation, and storage (CCUS). Key Responsibilities:
- Transaction Documents: Draft, review, and negotiate legal documents for private M&A transactions, including sale and purchase agreements, share subscription and joint venture agreements, and ancillary transaction documents.
- Due Diligence: Lead large-scale due diligence exercises and manage disclosure processes for both sell-side and buy-side transactions.
- Transaction Management: Coordinate with colleagues and other advisors to ensure seamless client service and meet client objectives and timelines.
- Client Interaction: Maintain and develop client relationships, ensuring a deep understanding of their needs and delivering practical, cost-effective solutions.
- Business Development: Engage in business development and networking activities to strengthen client relationships and identify new business opportunities.
- Team Mentorship: Mentor junior lawyers, contribute to departmental know-how, and participate in training activities.
- Compliance: Ensure all activities comply with regulatory requirements and internal policies.
Candidate Profile: The ideal candidate will possess the following skills and experience:
- Experience: Scottish or English Qualified Solicitor. 3-7 years PQE in corporate transactional work, with significant experience in private M&A and project development within the oil and gas and broader energy sectors.
- Team Player: Enthusiastic and effective team player who can work collaboratively with colleagues at all levels.
- Communication: Excellent verbal and written communication skills, with the ability to draft, review, and negotiate legal documents effectively.
- Adaptability: Quick learner with the ability to handle multiple jurisdictions and a variety of contractual arrangements.
- Client-Focused: Strong client-facing skills, with the ability to build and maintain client relationships and understand their needs.
- Attention to Detail: Technically excellent with strong analytical and drafting skills, and meticulous attention to detail.
- Leadership: Ability to lead teams on transactions or designated parts of transactions, demonstrating a commercial approach and authoritative negotiation skills.
- Passion: Passionate about delivering outstanding outcomes for clients in innovative ways.

- Overseeing a client $1.5+ billion acquisition of a key Pipeline.
