Trustee Senior Transaction Manager

The Trustee Senior Transaction Manager reports to the Trustee Team Leader. They are responsible for managing a complex portfolio of structured finance transactions in conjunction with other teams at CSC. They will liaise closely with other transaction parties during the setup of the transaction and participate in the setup of the structure, ensure that the obligations and protections of CSC as trustee are appropriately reflected in the transaction documents, and coordinate CSC’s role in any issues that arise over the life of the transaction.
The Trustee Senior Transaction Manager is responsible for following internal procedures for the administration of the transactions to ensure the proper discharge of CSC’s duties and the delivery of a high quality service to clients at all times.
Your Responsibilities:
Transaction Management
- Responsible for managing a varied portfolio of note trustee, security trustee and security agent services on a wide range of asset classes, including securitisations, structured finance, asset backed finance, debt issuances, aviation transactions and defaults & restructurings.
- Promotes a client service-oriented culture by providing timely responses to client requests, personal attention, ensuring professionalism in communication with clients, colleagues and intermediaries.
- Reviews and comments on the full suite of transaction documents in accordance with CSC standards to ensure the trustee is fully protected.
- Engages and liaise with external counsel to co-ordinate comments on the transaction documents.
- Liaises with senior team members, team leader and directors regarding any commercial aspects of the transactions, escalating issues as appropriate.
- Ensures the accurate and timely completion of internal processes and procedures for all transactions in the allocated portfolio.
- Works through waivers and amendments on existing transactions, engaging counsel for the trustee as appropriate.
- Works with other team members on any defaults and/or restructurings of existing transactions, engaging trustee counsel, ensuring the rights and obligations of the trustee are protected and the duties to the bondholders and/or investors are fulfilled.
- Deals with ad hoc transaction enquiries and/or relevant correspondence in a timely manner.
Business Development
- Maintains and grows relationships with existing clients and intermediaries.
- Where needed, participates in business trips for visiting existing clients, intermediaries and new potential clients.
- Becomes recognised in the market as a known Trustee Transaction Manager and promotes CSC’s trustee service by attending market events and conferences.
- Contributes towards business development and marketing objectives by:
- Organising post deal closure marketing reviews and meetings with clients in conjunction with the Commercial team;
- Assisting the Commercial team with new proposals and pricing where appropriate.
Compliance
- Adheres to the CSC client acceptance process and procedures and executes periodic review of client files to ensure ongoing compliance.
- Actively monitors transactions under management, involving compliance team where appropriate.
- Work with junior team members and internal compliance teams to ensure clients and transactions are fully onboarded from a KYC perspective, and that file reviews for existing transactions are completed on time.
Client Invoicing
- Submits time recording on a timely basis to ensure appropriate chargeability and accurate invoicing of chargeable work.
- Responsible for preparation of client billing files in line with the corresponding services agreements.
- Review of invoices and ensuring timely settlement of these.
People Management
- Coaches and trains junior team members where required.
- Oversees the execution of transaction documents, by junior members of team, for transactions.
Skills / Experience
- Solid experience in reviewing securitization and structured finance documentation, as well as LMA documentation.
- Experience of trustee work is essential. Expectation would be for at least 5 years experience in a Transaction Management role.
- A strong understanding of potential risks associated with Trustee roles and capital markets’ structures;
- Experience in defaults and restructurings is preferable.
- An excellent level of communication skills, both oral and written, and a high level of interpersonal skills, giving the ability to work with all levels, both within and external to, CSC.
- The ability to balance competing priorities and meet deadlines within the context of a demanding workload, to work independently, and to work effectively as part of a team within a multi-disciplinary setting.
- A demonstrable ability to understand, consider and discuss complex securitization and structured transactions.
